MYP&L TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of MyP&L (the "Service"), a web-based software application available at mypandl.com that converts user-uploaded bank statement PDFs into profit and loss statements.

By accessing, creating an account, or using the Service, you agree to be legally bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you use the Service on behalf of a business entity, you represent and warrant that:

  • You have authority to bind that entity to these Terms; and
  • You have legal authority to upload and process all financial data submitted through the Service.

You may not use the Service if you are subject to U.S. sanctions or located in a country subject to U.S. trade restrictions.

2. Account Registration and Security

You must provide accurate, current, and complete information.

Authentication is managed through Stytch. We are not responsible for authentication failures, outages, or breaches attributable to third-party providers.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity under your account
  • Promptly notifying us of unauthorized use

We may suspend or terminate accounts suspected of fraud, abuse, or unlawful conduct.

3. Service Description

MyP&L is a software tool that uses automated processing and AI-assisted categorization to convert uploaded bank statement PDFs into draft profit and loss (P&L) statements.

The Service:

  • Does not access your bank accounts directly
  • Does not prepare or file tax returns
  • Does not represent compliance with any IRS, state, or local tax authority requirements

Outputs are generated algorithmically and may contain errors.

4. No Professional Advice; No Fiduciary Relationship

THE SERVICE DOES NOT PROVIDE TAX, ACCOUNTING, LEGAL, OR FINANCIAL ADVICE.

Use of the Service does not create:

  • A CPA-client relationship
  • An accountant-client relationship
  • A tax preparer-client relationship
  • A fiduciary relationship
  • Any professional advisory relationship

MyP&L is not a certified public accounting firm, tax preparer, enrolled agent, or law firm. All generated P&L statements are informational tools only.

5. Tax Responsibility and Compliance Allocation

You are solely responsible for:

  • Reviewing and verifying all categorizations and outputs
  • Determining proper tax treatment of income and expenses
  • Ensuring compliance with all federal, state, and local tax laws
  • Maintaining adequate records for substantiation purposes
  • Preparing and filing tax returns

We do not warrant that any output will:

  • Be accurate
  • Satisfy audit standards
  • Meet IRS substantiation requirements
  • Be accepted by any governmental authority

You acknowledge that tax penalties, audit assessments, or compliance failures remain solely your responsibility.

6. Acceptable Use

You may not:

  • Upload data you do not have authority to process
  • Upload malicious code
  • Reverse engineer or attempt to extract source code
  • Scrape or automate extraction of Service data
  • Resell or sublicense access
  • Use the Service in violation of law

Violation may result in immediate termination.

7. Pricing and Payment

The Service is offered at $20 per tax year and includes up to three (3) completed P&L generations per calendar year.

A generation counts once it reaches "done" status.

Fees are charged at the time of purchase. Access is granted immediately upon payment. To the extent permitted by law, you waive any statutory cooling-off or withdrawal rights.

All fees are non-refundable except as required by law.

We may modify pricing for future purchases.

8. Intellectual Property

All software, algorithms, AI models, interfaces, and documentation are owned by MyP&L or its licensors.

You retain ownership of your uploaded data.

You grant us a limited, non-exclusive, revocable license to process your data solely to provide and improve the Service.

You own generated P&L statements.

If you provide feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without restriction.

9. Data Handling and Security

We implement commercially reasonable administrative, technical, and physical safeguards.

However:

  • No system is completely secure
  • We do not guarantee absolute security
  • You assume inherent risks of internet transmission

We are not liable for breaches caused by third-party service providers, hosting providers, or authentication vendors.

10. Service Availability and Modifications

The Service is provided "as available."

We do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any feature at any time without liability.

Beta or experimental features may be offered "as is" and may be removed without notice.

11. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT:

  • OUTPUTS ARE ERROR-FREE
  • CATEGORIZATION IS CORRECT
  • THE SERVICE WILL MEET YOUR TAX OR ACCOUNTING NEEDS
  • THE SERVICE WILL PREVENT TAX PENALTIES OR AUDITS

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, TAX PENALTIES, AUDIT COSTS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • TWENTY U.S. DOLLARS ($20), OR
  • THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of legal theory (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails of its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless MyP&L and its officers, directors, employees, and agents from any claims, damages, penalties, liabilities, losses, or expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your tax filings
  • Governmental audits or investigations
  • Tax penalties or assessments
  • Your violation of law
  • Your uploaded data

14. Termination

You may terminate at any time by ceasing use.

We may suspend or terminate access at our sole discretion.

Upon termination:

  • Your access ceases immediately
  • We may permanently delete your data
  • No refunds will be issued

Sections intended to survive shall survive, including disclaimers, limitations, indemnification, and dispute resolution.

15. Arbitration Agreement and Class Action Waiver

PLEASE READ CAREFULLY.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration shall take place in Riverside County, California, unless otherwise required by law.

Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.

Jury Trial Waiver

You waive any right to a jury trial.

Opt-Out

You may opt out of arbitration by providing written notice within 30 days of first accepting these Terms.

16. Limitation Period

Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

18. Miscellaneous

Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement.

Severability. Invalid provisions shall not affect remaining provisions.

Assignment. You may not assign these Terms. We may assign without restriction.

Force Majeure. We are not liable for events beyond reasonable control.

Electronic Communications. You consent to receive notices electronically.
